Artist Collaboration
& Capsule Agreement

Welcome to our Artist Collaboration Program. This agreement outlines the terms, conditions, and operational structure for our limited-edition merchandise capsules. Our goal is to provide a fully managed, end-to-end partnership—allowing artists to monetize their brand and connect with fans with zero operational lift or upfront costs.

By proceeding with a merchandise capsule collaboration, the Artist ("Collaborator") and Honor The Culture ("Company") agree to the following terms:

1. Operational Responsibilities

What We Handle

  • Hosting & Store: Full setup of a branded digital storefront, product listings, and secure checkout.
  • Fulfillment & Shipping: Inventory production, order processing, and direct-to-fan global shipping.
  • Customer Service: Complete post-purchase support (tracking, returns, fan communications).
  • Advertising & Promotion: End-to-end campaign strategy, paid social, and rollout planning.

What You Handle

  • Zero Operational Lift: No physical inventory to hold, no customer service, no shipping.
  • Promotion: Amplifying the capsule to your core audience through your official channels during the rollout window.
  • Creative Approval: Simply approving the designs we curate for your brand.

2. Creative Control & Approvals

  • Design & Direction: The Company will provide capsule creative direction, custom artwork, and product design closely aligned with the Artist's iconic identity.
  • 100% Collaborative: The Artist retains approval rights over all final designs and creative direction prior to launch. No product goes live without the Artist’s explicit sign-off.

3. Revenue Share & Payments

Our revenue model is structured to be transparent and highly lucrative. We offer a flat payout per unit sold rather than a complex percentage of net profits. Payment distributions are made via Cash App, Zelle, or Apple Pay.

*Exact retail prices and payouts will be finalized in the specific Capsule Addendum prior to launch.

4. Cost Allocation & Expenses

The Company assumes 100% of financial liability and out-of-pocket costs.

Cost to the Artist. None, we cover physical production, blank sourcing, merchant transaction fees, e-commerce hosting, shipping costs, graphic design fees, customer service overhead, and advertising budgets (at HNR discretion).

5. Taxes & Legal Compliance

  • Sales & VAT Tax: The Company is responsible for collecting and remitting all applicable local, state, and international sales and VAT taxes.
  • Income Tax (Artist): The Artist operates as an Independent Contractor (1099 status). A completed W-9 form is legally required once revenue share exceeds $2,000 USD. The Artist is responsible for their own state and federal income taxes.

6. Intellectual Property

  • The Artist grants the Company a limited, non-exclusive, revocable license to use their name, likeness, logos, and associated trademarks strictly for the design, promotion, and sale of the agreed-upon capsule.
  • The Artist retains full ownership of their underlying brand, trademarks, and pre-existing intellectual property at all times.

7. Term, Termination & Confidentiality

  • Duration: This agreement covers the specific duration of the limited-edition drop (the "Capsule Window"), defined in the Artist's specific proposal.
  • Termination: Either party reserves the right to terminate prior to public launch. Once live and orders are placed, the Company is obligated to fulfill orders and remit the revenue share to the Artist.
  • Confidentiality: Both parties agree to keep all financial terms, sales data, and proprietary strategies strictly confidential.
